Jurisdictional Restrictions: This platform and its services are not available to U.S. Persons or individuals from jurisdictions where participation is prohibited by law.
Price Volatility: The value of tokens may fluctuate widely due to market forces, sentiment, or speculative activity. You may lose some or all of your capital.
Smart Contract Risk: The protocol relies on smart contracts, which may contain bugs, vulnerabilities, or may operate in unintended ways. Exploits could result in partial or total loss of funds.
Slashing Risk: Staking participants may face penalties (e.g., slashing) in the event of misbehavior, downtime, or protocol-defined violations.
Governance Attack Risk: Malicious actors may attempt to manipulate governance through concentrated voting power, which could harm the protocol or its participants.
Liquidity Risk: Tokens or assets may not be easily tradable or redeemable, especially during periods of high volatility or market stress.
Tax Uncertainty: The taxation of digital assets varies across jurisdictions. You are responsible for understanding and complying with applicable tax obligations.
Technology Risk: Access to the platform may be disrupted by outages, cyberattacks, or technical failures outside the protocol’s control.
Key Management Risk: Loss of private keys or wallet credentials may result in the permanent loss of access to your tokens or assets.
No Guarantees: Staking does not entitle participants to fixed returns, profits, or revenue sharing. Rewards, if any, are variable and not guaranteed.
Market Risk: Broader market trends and macroeconomic factors may adversely affect the protocol and its associated assets.
Token Utility Risk: The utility and demand for the token may not develop as expected. Features and use cases may change over time.
Legal and Compliance Risk: Participants are responsible for ensuring that their use of the platform is legal in their respective jurisdictions.
Third-Party Risk: The protocol may integrate with or depend on third-party services or oracles, which could introduce external risks or failures.
Securities Status Statement
$NET is intended solely for consumptive utility on the LayerNet platform. The token does not confer ownership, dividends, or revenue share. Purchasers should have no expectation of profits derived from the efforts of LayerNet Labs or any third party.
$NET does not confer any rights to equity, ownership, dividends, profit-sharing, or revenue derived from LayerNet Labs or any affiliated entity. The token is not offered or sold as a security. Under the U.S. Supreme Court’s Howey Test—which determines whether an asset qualifies as an “investment contract”—$NET does not meet the criteria of (i) an investment of money, (ii) in a common enterprise, (iii) with an expectation of profits, (iv) derived from the efforts of others. EU residents may only access the token once a MiCA-compliant crypto-asset white-paper has been duly published. Accordingly, purchasers should have no expectation of profit and must use $NET solely for its intended utility. LayerNet Labs makes no representations regarding the token’s value, tradability, or future market performance.
Intellectual Property & License
All intellectual property rights related to the LayerNet platform—including but not limited to its software, branding, design, visual assets, and content—are the sole property of LayerNet Labs. General users are granted a limited, non-exclusive, revocable license to access and use the platform solely for personal, non-commercial gameplay purposes. NFTs issued by LayerNet may be subject to open licenses such as CC0 (Creative Commons Zero) or CC BY-NC (Attribution-NonCommercial), as specified per collection or asset. Ownership of a LayerNet NFT conveys a copyright licence to the underlying digital artwork only; it does not grant any rights to LayerNet trademarks or other brand elements.
